Business Ventures – Vanguard® counselors help clients to form and finance business entities, and we advise our clients on the legal and tax aspects of their ventures or proposed ventures, including closely-held and fully-syndicated corporations, limited liability companies, limited partnerships, general partnerships, and tenancy-in-common (TIC) arrangements. Our clients have included innovative entrepreneurs to institutional investors.  Additionally, Vanguard's® managing partner, Jeff Schneider, is the lead author of the leading law school textbook on business franchises, and has assisted clients from both the franchisor and franchisee perspective (as well as the dual perspective of an area franchisee).

Hospitality - As a hybrid of real estate and business ventures, hotel and other hospitality projects have been the focus of various Vanguard® clients.  Vanguard® team members have been involved with acquisition, financing, development, operation, and ultimate disposition of various hospitality projects throughout the U.S.

Leasing – Vanguard® lawyers have closed hundreds of millions of dollars worth of real estate leases (covering millions of rentable square feet), primarily on behalf of landlords, but also on behalf of tenants, including build-to-suit leases, ground leases, office leases, retail leases, biotech and pharmaceutical leases, and industrial leases.  Our clients have ranged from national institutional-type landlords to small regional tenants.

Loan Sales, Purchases and WorkoutsFrom the "RTC Days" to the Obama Days, Vanguard® lawyers have participated in the purchase and sale of loan pools and in working out troubled loans and assets.  Our role has been to serve lenders and sellers as well as borrowers and purchasers.  The Vanguard® team has particular sensitivity to the need to take a holistic approach to troubled assets and the needs of struggling clients.

Real Estate DevelopmentFrom due diligence and acquisition through the certificate of occupancy and beyond, Vanguard® team members have helped clients with all sorts of ground-up (and down) real estate developments, including complex mixed-use developments and redevelopments, and the conversion of a Naval Air Station into a major retail, residential, and entertainment community.  Development matters include land use, design and construction relationships, acquisition, bridge, and construction financing (both debt and equity and public and private), pre-leasing, and public relations.

Real Estate Investment - For real estate investors, Vanguard® lawyers help with pre-acquisition analysis and due diligence, financing and re-financing, acquisition and disposition, leasing, property management, and tax planning.  Our clients have ranged from large international real estate investors to small investors looking at their first opportunities to invest directly in real estate or indirectly in real estate ventures.

Real Estate Financing Much of real estate success is based on the ability to finance the acquisition or development of a real estate project (and to exploit the success of a project by collecting refinancing proceeds).  The Vanguard® team has great experience and success in all matters of real estate financing, both debt and equity and both public and private--on behalf of both lenders and borrowers.  Vanguard® expertise includes syndications, mezzanine financing, joint venture financing, aquisition and pre-development loans, construction loans, hard-money loans, and institutional and CMBS loans.  Our lender-clients have ranged from one of the world's largest banks to start-up hard-money lenders.  Our borrower clients have ranged from developers of huge complex projects and communities to small one-time real estate investors.

Taxation – A penny saved is a penny earned.  So strategies for minimizing taxes are as important as strategies for raising revenues.  The Vanguard® team is sensitive to the tax consequences and alternatives of our clients' transactions.  We help with our clients' tax planning, with an emphasis on structuring each venture in a way that will maximize flexibility and minimize taxation, in a legal and ethical manner.
